Nick advises startup companies, private equity investors, executives, and high-net-worth individuals on structuring, governance, fundraising, and corporate transactions. He has formed hundreds of companies, guiding entrepreneurs through the corporate setup, building the initial team, and completing early rounds of financing, as well as providing general corporate and commercial support on the many issues that early-stage companies typically face. On the investor and acquirer side, Nick works closely with business principals to craft term sheets, negotiate definitive documents, manage the diligence process, and execute successful closings.
In addition to counseling traditional for-profit entities, Nick guides family offices, foundations, and philanthropies through restructurings, impact investing, and sponsoring corporate projects such as media organizations, startup incubators, grant programs, and partnerships. He also provides corporate and transactional support to select nonprofits on a pro bono basis.
Nick also has significant experience advising clients on cryptocurrency and blockchain issues as they relate to emerging companies and corporate fundraising models, having advised companies through pre-sale funding, token sales, and complex corporate structuring to achieve corporate and regulatory goals.
